Title: *REPLACEMENT* CONDITIONAL APPROVAL OF FIRST STUDENT'S AND WEST JACKSONVILLE BUS SERVICE LLC'S (West Jax) REQUEST TO ASSIGN THE WESTSIDE GEOGRAPHIC SERVICE AREA Requested Action: Approve a conditional action by the Board to facilitate the potential agreement between First Student, Inc. and West Jacksonville Bus Service, LLC. Both parties are currently negotiating A sale, ACQUISITION OR TRANSFER. AUTHORIZE THE CHAIRMAN AND THE SUPERINTENDENT TO EXECUTE REQUIRED DOCUMENTS, AFTER APPROVAL OF THE DOCUMENTS AS TO FORM, PROVIDING THE INTENT OF THE DOCUMENTS ARE WITHIN THE SCOPE OF THE BOARD’S APPROVAL. Summary Explanation and Background: West Jax is attempting to sell its assets and assign its student transportation contract to First Student. The School District wishes to maintain an uninterrupted, safe and dependable transportation for the students in all GSA’s. West Jax wishes to effect this deal with First Student, but it has been conditioned upon three actions by the School Board: (1) The term for the Westside GSA be extended for the full five years as contemplated in the contract in accordance with the 5 years' pricing set forth therein; (2) The "Termination for Convenience" clause in Section 12.2 of the conformed Request for Proposals shall be deleted; and (3) With these contract changes in place, consent to the assignment of the contract from West Jax to First Student. The parties to this assignment have stated that without these actions, this transaction is not fiscally prudent for First Student to amortize its costs. The Board's approval of the above changes to the contract is conditioned upon the successful closing of the West Jax-First Student transaction.
